WhataHoot is an independent, family-run distillery, bar, shop and visitor-experience business in the heart of King’s Lynn.

We create Norfolk-made spirits, welcome guests into our historic home and build relationships with retailers and hospitality businesses. We now want local people who believe in WhataHoot to have the chance to own a genuine piece of it.

What share ownership means

A genuine stake in WhataHoot

An accepted investor would receive shares in WhataHoot under the final investment and shareholder documents.

This means owning a small part of the company and potentially benefiting if the business grows in value. It does not guarantee a return, dividends or an opportunity to sell the shares.

Terms are not final

The company valuation, share price, share class, shareholder rights and investment terms must be confirmed in the formal investor information before anyone makes a decision.

These answers explain the current expression-of-interest stage. The final investment terms and legal documents will take precedence.

How much can I invest?

We are currently seeking expressions of interest from people considering approximately £3,000 or more. The final minimum, share price and availability will be confirmed later.

Will I own part of WhataHoot?

If an application is accepted and the investment completes, you would receive shares and become a shareholder. Your percentage ownership and rights would depend on the final valuation, share class and legal terms.

Will I receive dividends?

There is no guarantee that dividends will be paid. Any dividend would depend on company performance, available profits, cash requirements, legal requirements and company decisions.

Can I sell my shares?

There is no public market for WhataHoot shares. You may be unable to sell them when you want to, or at all. Transfers would also be subject to the company’s legal documents.

Could my ownership be diluted?

Yes. If more shares are issued in the future and you do not participate, your percentage ownership could reduce. Any applicable rights would be explained in the formal documents.

Will I help run the business?

Not automatically. Share ownership would not normally provide a day-to-day management role, employment or a director position. Your rights would depend on the shares issued.

Are tax reliefs available?

No tax relief should be assumed. WhataHoot will only describe a tax scheme or relief after professional confirmation. Obtain your own tax advice.

Is my investment protected?

An equity investment is not a savings account. You should not assume that the Financial Services Compensation Scheme would cover losses caused by the company performing poorly or failing.

Does this form commit me to investing?

No. It only records your interest in receiving more information. No payment is taken and WhataHoot is not obliged to offer you shares.
